The Minidoka Organic Farm is a 113.04 acre organic potato, sugar beet, malt barley, forage and dry bean farm located in Minidoka County, Idaho. This investment opportunity consists of irrigated organic farmland in the Magic Valley region of the Snake River Plain in south-central Idaho. The Magic Valley produces approximately half of Idaho’s farm output, with four of the nation’s top 45 agricultural counties represented in the Magic Valley, according to USDA total agricultural sales.
The Minidoka Organic Farm sits within 8 miles of Amalgamated Sugar’s largest sugar beet processing facility, within 12 miles of an organic dairy, within 15 miles of two potato processing plants and within 40 miles of the world’s largest yogurt factory, as well as multiple large scale dairy farms, cheese manufacturers, and whey ingredient producers. Idaho ranked third nationally in milk production in 2025, with over 70% of Idaho’s milk cows concentrated in the Magic Valley, according to the USDA and University of Idaho. This dominant dairy presence drives strong local demand for alfalfa and corn silage.
The Magic Valley’s combination of irrigated farmland and semi-arid climate, coupled with processing infrastructure, drives significant crop optionality. The Minidoka Organic Farm carries water rights for 104.8 acres, with water delivered through canals managed by A&B Irrigation District. The region’s long, bright summer days and a growing season that runs from early May to early October drives strong yields and crop quality. According to the USDA, in 2025 Idaho led the nation in corn silage yield at 31 tons per acre while barley averaged 112 bushels per acre against a national average of 80 bushels per acre. According to the USDA 2022 Census of Agriculture, the primary crops grown in Minidoka County are sugar beets (53,439 harvested acres), potatoes (43,274 harvested acres), barley (40,218 harvested acres), and forage (36,478 harvested acres). Minidoka County ranks 2nd in the state of Idaho for the production of vegetables.
According to Acres(1) data, we believe this Property is being purchased at a below-market entry price based on available comparable sales of properties of similar size and quality in the same region, which is an active, tenant-dense land market. Geographic Concentration
The Company’s activities will be limited to acquiring and holding the Property as an investment and are therefore inherently concentrated in a specific geographic location. A stagnant or depressed economy in the area in which the Property is located could adversely affect the value of the Property and the Company’s ability to provide a return or any profit to investors.
Third-party property managers may not be effective
The Manager, on behalf of the Company, may retain third-party property managers who will, under the supervision of the Manager, oversee the day-to-day operations of the Property by the tenants. The success of the Company will, accordingly, depend on the performance of such third-party property managers, and their failure to successfully perform their management duties could adversely impact the Property’s results of operations and could reduce cash available for distributions to Members of the Company.
Crop Risk
Corn and Soybeans are planned to be grown on the Property. These commodities are subject to price volatility that could result in selling prices below break-even for the operator. Commodities are also subject to weather conditions including but not limited to drought, flood, and hail.
Farmland Risk
Farmland investments are also subject to additional risks including volatility in commodity prices, weather events or disease that could damage crops and many other operational factors.
